German version further down / Deutsche Version weiter unten Astaro License Agreement 3.1 The installation and use of the Astaro Enterprise Toolkit is subject to the following terms and conditions which constitute a license agreement between Astaro AG, Germany or Astaro's sub- sidiary, together ("Astaro") and the contracting individual or company ("User"). By installing the Astaro Enterprise Toolkit you declare your consent with these terms. 1. Description of the Software (1) "Astaro-OSS" is a specialized Linux distribution with enhanced firewall functionality. It is distributed as Open Source Software according to the respective license conditions applicable to the respective elements of Astaro-OSS as set out in Exhibits 1 and 2. The sources for Astaro-OSS can be ordered on CD from Astaro (Astaro AG, Jahnstrasse 1, 76133 Karlsruhe, Germany), the cost is Euro 30.00 plus shipping cost. (2) The "Astaro Enterprise Toolkit" consists of WebAdmin (graphical user interface), MiddleWare (system configuration software), SelfMonitoring (system monitoring software), Up2Date (automatic update software), High Availability, Virus Protec- tion and other software as listed in Exhibit 3. The Astaro En- terprise Toolkit consists of all files as listed in Exhibit 3. The Astaro Enterprise Toolkit is not distributed as Open Source Software. The copyright and all related intellectual property rights in the Astaro Enterprise Toolkit remain with Astaro AG. (3) The "Astaro Security Linux" ("ASL") consists of the Astaro Enterprise Toolkit together with Astaro-OSS. (4) Once installed on a PC, the Astaro Security Linux is the only application which can be run on the respective machine. In the course of installation, the hard disk of that machine will be erased completely! 2. Astaro Enterprise Toolkit License (1) The copyright and all related intellectual property rights in the Astaro Enterprise Toolkit remain with Astaro. (2) Astaro grants individual Users for personal non-commercial purposes a non-exclusive license to use the Astaro Enterprise Toolkit for an unlimited period of time. (3) Astaro grants commercial Users and all other Users not fal- ling under section 2 (2) once a non-exclusive license to use the Astaro Enterprise Toolkit for commercial purposes for an evaluation period of four weeks after the first installation of the Astaro Enterprise Toolkit (Evaluation License). (4) The User is not entitled to decompile, disassemble, translate, merge or otherwise modify the software unless permitted by law. No license is granted with regard to the source code of the Astaro Enterprise Toolkit. (5) The User is not entitled to lease or sub-license the Astaro Enterprise Toolkit. (6) New versions of the Astaro Security Linux can be downloaded by all Users at www.astaro.com. Astaro may cease the free distribution of the Astaro Enterprise Toolkit. The automatic update distribution is available only within the framework of the Professional License. Users under the Non-Commercial or the Evaluation License are not entitled to the automatic Up2date distribution with regard to their copy of the Astaro Security Linux. 3. Professional License (1) The User has to register with Astaro under a Professional License if he intends to use the Astaro Enterprise Toolkit for commercial purposes after the expiration of the Evaluation Li- cense. The User declares as part of the registration the number of firewall server installations and the network size per server. The fee for a Professional License for each server installation depends on the network size (number of IP adresses operated behind the firewall). (2) The initial Professional License includes 12 months of update service, starting from the day of the initial registration. The System can be updated automatically, the update files being transmitted to the User for implementation into the Astaro-OSS. Other forms of service, e.g. maintenance or on-site or telephone support, are not included in the Professional License but might be offered by third parties under a separate agreement. (3) The fees and charges payable by the User under this Agreement do not include any taxes or customs duties. Any such tax or duty shall to the extent permissible by law be paid by the User immediately it becomes due. (4) Both parties reserve the right to terminate the Professional License without notice in case the other party is in breach of a material obligation and does not remedy it within 14 days after having received a written notice hereof. (5) Astaro may terminate the Professional License if the User does not pay invoiced fees within the regular payment period and a final warning providing for the possibility to pay due fees within 7 days. 4. Size of Network and Installations (1) If the User intends to increase the network size or the number of server installations, he has to enter into an agreement with Astaro to adjust the Professional License. The relevant fees at the time of adjustment apply. (2) The User is obliged to inform Astaro about the network size and the number of installations at any time on request of Astaro. Astaro is entitled to make sporadic license checks at the User's premises after having given not less than two day's notice and the User provides necessary assistance to Astaro for such checks. Before the check and on request of the User Astaro enters into a confidentiality agreement with the User regarding data stored on the computers of the User. 5. User's obligations (1) The User has to ensure that the hardware he intends to use as a firewall is technically suitable for this purpose and for running the Astaro Security Linux according to the hardware requirements issued by Astaro. The same applies to the User's network environment. (2) The User has to make sure that the computer on which the Astaro Security Linux is to be installed does not contain any data, the loss of which would cause damage to the User. (3) Prior to operating the Astaro Security Linux, the User has to build up a test environment which equals the conditions under which the Astaro Security Linux shall operate later on. The Astaro Security Linux shall only be put into operation after having successfully passed a sufficient test period. The same applies after each update of the Astaro Security Linux. (4) In case of warnings against viruses, attempts of unauthorized entering of the User's network from outside (hacking) or any other hazardous occurrences, the User has to take appropriate additional measures to prevent damages, including the shutdown of the system, if necessary. He commits himself to monitor and process warnings issued by Astaro in this respect. (5) The User must install any third party software beside the Astaro Security Linux on the same computer or to modify the Astaro Security Linux in an inappropriate way. (6) The User has to make sure that every person handling Astaro Security Linux respects the provisions of this agreement, especially with regard to the scope of the software license as set out above. 6. Warranty and Liability regarding Non-Commercial and Evalu- ation Licenses (1) The software is provided as a donation "As Is". Astaro is not liable for any damage arising in connection with the use of the Astaro Security Linux. The user expressly acknowledges that he is using the software at his own risk. (2) Astaro does not warrant that the Astaro Security Linux is errorfree, reliable or stable and does not make any representations as for the quality of the software, especially with regard to its merchantability or the fitness for a particular purpose. (3) Astaro does not warrant that the software runs without malfunctions, especially with regard to its security functions and possible negative effects on the data flow through the firewall from and to external networks. (4) Astaro is not liable for any loss of data occurring in the course of installation of the Astaro Security Linux or due to malfunctions during operation of the System. (5) In case certain functions of the software cease to work due to technical defects, the User is not entitled to any compensation of the fees for his internet connection which thus might have become futile. (6) As for the rest, Astaro's liability is limited to cases of intention and gross negligence unless Astaro is in breach of a cardinal contractual duty. This does not affect Astaro's liability according to the Product Liability Act (Produkthaftungsgesetz). 7. Warranty and Liability regarding Professional Licenses (1) Astaro-OSS is provided as a donation according to the provisions of the Licenses set out in Exhibits 1 and 2. There is no warranty with regard to this software. As to Astaro's liability the provisions of section 6 apply. (2) As for the Astaro Enterprise Toolkit, Astaro is not liable for damages resulting from Astaro's negligent behavior unless Astaro is in breach of a cardinal contractual duty. This does not affect Astaro's liability according to the Product Liabili- ty Act (Produkthaftungsgesetz). (3) For the initial Professional License a six months warranty period applies, unless local jurisdiction requires Astaro to have a longer Warranty period. If this is the case, the minimum period required by local law shall be the warranty period. (4) Astaro's liability is subject to the User carrying out his obligations as set out in section 5. 8. Consumer's right to revocation In case the User acts solely for private purposes (consumer), he is entitled to revoke this agreement during 14 days from the day he received the Astaro CD-ROM. The right to revocation expires earlier at the time (i) when the seal of the CD-ROM is broken, or (ii) when the software has been used. In case of revocation, the CD_ROM must be sent back to Astaro, and the software must be erased completely from the hardware. 9. Miscellaneous (1) Astaro is entitled to have any obligation arising from this agreement carried out by sub-contractors. Astaro has the right to disclose to its sub-contractors all information on the User necessary for this. However, Astaro remains the User's sole contractual partner. The User is not allowed to assign any of his rights or duties arising from this agreement to any third person. (2) The terms set out in this agreement represent the entire agreement between Astaro and the User and replace all earlier agreements between the parties. There are no oral arrangements. Amendments to this agreement are binding only if they are agreed on in writing by both parties. (3) If any of the terms or provisions set out in this agreement are or become invalid or unenforceable, the other terms and provisions of this agreement shall remain in full force and effect. The invalid provision shall be replaced by a provision which meets both parties' interests and the intention of this agreement. (4) This agreement and any claim or dispute arising out of it is subject to German law except for its conflict of law principles. In case the User acts as a merchant in the sense of the German Commercial Code (Handelsgesetzbuch), Karlsruhe, Germany shall be agreed on as the place of jurisdiction for all such disputes. The provisions of the Convention on Contracts for the International Sale of Goods (CISG) are ruled out. German version / Deutsche Version: Endbenutzer-Lizenzvertrag der Astaro AG Astaro Lizenzvertrag 3.0 Die Installation und Nutzung des "Astaro-Enterprise-Toolkits" ist Gegenstand der folgenden Vereinbarungen, die einen rechts- gueltigen Lizenzvertrag zwischen der Astaro AG, Deutschland oder Astaros Tochterunternehmen, zusammen ("Astaro") und einem Individuum oder einer Firma als Vertragspartner ( im folgen- den als "Benutzer" bezeichnet) begruenden. Mit der Installa- tion des "Astaro-Enterprise-Toolkits" erklaert der Benutzer seine Zustimmung zu den folgenden Vereinbarungen: 1. Beschreibung der Software (1) "Astaro-OSS" ist eine spezifische Linux-Distribution mit erweiteter Firewall-Funktionalitaet. Sie wird als Open Source Software, entsprechend zu den Lizenzbedingungen der jeweiligen Elemente von Astaro-OSS, wie in Exhibit 1 und 2 enthalten, vertrieben. Der Source-Code fuer Astaro-OSS kann auf CD bei Astaro (Astaro AG, Jahnstrasse 1, 76133 Karlsruhe, Germany), bestellt werden. Die Kosten hierfuer betragen Euro 30,00 plus Versandkosten (2) "Astaro-Enterprise-Toolkit" besteht aus dem WebAdmin (Graphical User Interface), MiddleWare (System Configuration Software), SelfMonitoring System Monitoring Software), Up2Date (Automatic Update Software), High Availability, Virus Protec- tion und andere SOftware wie in Exhibit 3 aufgefuehrt. Das "Astaro-Enterprise-Toolkit" besteht aus allen in Exhibit 3 auf- gelisteten Teilen. Das Astaro-Enterprise-Toolkit wird nicht als Open Source Software vertrieben. Das Copyright und alle da- mit verbundenen Urheberrechte an der Software verbleiben bei Astaro AG. (3) Astaro Security Linux ("ASL") besteht aus Astaro-OSS und dem "Astaro-Enterprise-Toolkit". (4) Einmal auf einem PC installiert, ist das ASL die einzige Applikation die auf dem spezifischem PC laufen kann. Im Verlauf der Installation wird die Festplatte dieses PC komplett geloescht! 2. Astaro-Software Lizenz (1) Das Copyright und alle damit verbundenen Urheberrechte an dem "Astaro-Enterprise-Toolkit" verbleiben bei Astaro. (2) Astaro gewaehrt Personen als Benutzern eine nicht ausschliessliche Lizenz fuer die private und persoenliche nichtkommerzielle Nutzung des "Astaro-Enterprise-Toolkit" fuer eine unbegrenzte Zeit. Nutzung fuer freiberufliche Taetigkeit ist dabei keine nicht-kommerzielle Nutzung und faellt unter Abschnitt 2 Punkt (3). (3) Astaro gewaehrt kommerziellen Benutzern und allen nicht unter Abschnitt 2 Punkt (2) fallenden Benutzern eine einmalige nicht ausschliessliche Lizenz fuer die Nutzung des "Astaro- Enterprise-Toolkit" fuer eine Testperiode von vier Wochen nach der ersten Installation des "Astaro-Enterprise-Toolkit" (Evalu- ation License). (4) Der Benutzer ist nicht berechtigt die Software zu dekompilieren, zu deassemblieren, zu uebersetzen oder in irgendeiner Weise zu veraendern oder zu modifizieren, ausser dies ist per Gesetz erlaubt. In Bezug auf den Source-Code des "Astaro-Enterprise-Toolkit" wird keine Lizenz gewaehrt. (5) Der Benutzer ist nicht berechtigt, das "Astaro-Enterprise- Toolkit" zu vermieten oder unterzulizenzieren. (6) Neue Versionen des ASL koennen von allen Benutzern von der Astaro Webseite www.astaro.com heruntergeladen werden. Astaro kann den freien Vertrieb des ASL einstellen. (7) Die automatische Update Distribution ist nur mit dem Framework der professionellen Lizenz verfuegbar. Nicht- kommerzielle Benutzer oder Benutzer in der vierwoechigen Testphase (Evaluation License), sind unter Beruecksichtigung ihrer Version des ASL nicht berechtigt an der automatischen Up2date Distribution teilzunehmen. 3. Professional License (1) Benutzer, die das "Astaro-Enterprise-Toolkit" nach Ablauf der vierwoechigen Testphase (Evaluation License) fuer andere als die unter Abschnitt 2 Punkt (2) beschriebene Nutzung ein- setzen, muessen sich bei Astaro registrieren lassen (Pro- fessional License). Der Benutzer gibt im Rahmen der Registrie- rung die Groesse des Netzwerkes und die Anzahl der Installa- tionen an. Die Hoehe der jeweiligen Gebuehren einer Professional Lizenz haengt von der Anzahl der Installationen und der jeweiligen Anzahl der hinter der Firewall operierenden IP-Adressen, unabhaengig davon, ob diese Adressen direkt an der Firewall technisch abgefragt werden koennen, ab. 4. Auskunftspflicht (1) Im Fall, dass der Benutzer die Groesse seines Netzwerkes oder die Anzahl der Installationen veraendern moechte, ist er verpflichtet, dieses Astaro mitzuteilen und die Lizenz dementsprechend anzupassen. Massgebend sind die entsprechenden Gebuehren zum Zeitpunkt der Anpassung. (2) Der Benutzer ist verpflichtet, Astaro bei Nachfrage ueber die Groesse des Netzwerkes und die Anzahl der Installationen zu unterrichten. Astaro ist berechtigt, sporadische Ueberpruefungen der Lizenzen an den Installationsorten des Benutzers durchzufuehren, nachdem diese mindestens 2 Tage im Voraus angekuendigt worden sind. Der Benutzer stellt hierbei die fuer die Ueberpruefung notwendige Unterstuetzung zur Verfuegung. Vor der Ueberpruefung und auf Nachfrage des Benutzers, wird Astaro eine Vertraulichkeitsvereinbarung bezogen auf die gespeicherten Daten auf den Computern des Benutzers eingehen. 5. Verpflichtungen des Benutzer's (1) Der Benutzer muss sicherstellen, dass die Hardware, die er fuer ASL nutzen will, fuer diesen Zweck und zum Betrieb von ASL, entsprechend den von Astaro herausgegebenen Anforderungen an die Hardware, geeignet ist. Das Gleiche gilt fuer die Netzwerkumgebung des Benutzers. (2) Der Benutzer muss sicherstellen, dass der Computer auf dem ASL installiert werden soll, keine Daten enthaelt, deren Verlust einen Schaden fuer den Benutzer darstellen koennte. (3) Bevor mit ASL gearbeitet wird, muss der Benutzer eine Test- Umgebung aufbauen, deren Konditionen gleichwertig mit denen sind, unter denen ASL spaeter arbeiten soll. ASL soll nur dann in Betrieb genommen werden, wenn es eine ausreichende Testperiode erfolgreich bestanden hat. Dies gilt auch fuer jedes Upgrade von ASL. (4) Im Fall von Warnungen gegen Viren und bei Versuchen nicht- autorisierter Personen in das Netzwerk des Benutzers von aussen einzudringen (Hacker) oder anderen gefaehrlichen Vorkommnissen, hat der Benutzer angemessene, weitere Massnahmen zu treffen, um Schaeden zu vermeiden, was, falls notwendig, auch das Herunterfahren des gesamten Systems beinhaltet. Er verpflichtet sich zum Ueberwachen und Bearbeiten der Warnungen, die von Astaro in diesem Bezug herausgegeben werden. (5) Der Benutzer sollte nicht versuchen Dritt-Software neben ASL auf dem selben Computer zu installieren oder ASL in einer nicht vorgesehenen Art und Weise zu modifizieren. (6) Der Benutzer muss sicherstellen, dass jede Person, die mit ASL umgeht, die Punkte dieser Vereinbarung, besonders in Bezug auf den Anwendungsbereich wie oben ausgefuehrt, respektiert. 6. Garantie und Haftung in Bezug auf nicht-kommerzielle und Test-Lizenzen (1) Die Software an sich wird so wie sie ist ("as is") als Schenkung zur Verfuegung gestellt. Astaro haftet fuer keinerlei Schaeden, die im Zusammenhang mit der Nutzung von ASL auftreten. Der Benutzer erkennt ausdruecklich an, dass er die Software auf eigenes Risiko nutzt. (2) Astaro garantiert nicht, dass das "Astaro-Enterprise- Toolkit" absolut fehlerfrei, verlaesslich oder stabil arbeitet und macht des weiteren keinerlei Angaben zur Qualitaet der Software, besonders im Hinblick auf ihre Verkaufbarkeit oder ihre Eignung fuer einen bestimmten Zweck. (3) Astaro garantiert nicht, dass die Software ohne Fehlfunktionen laeuft, besonders im Hinblick auf die Sicherheitsfunktion und moegliche negative Effekte auf den Datenfluss durch die Firewall von und zu externen Systemen. (4) Astaro haftet nicht fuer den Verlust von Daten waehrend des Installationsvorganges des "Astaro-Enterprise-Toolkit" oder aufgrund von Fehlfunktionen beim Betrieb des Systems. (5) Im Falle des Ausfalls von bestimmten Funktionen der Software, die auf technische Defekte zurueckzufuehren sind, ist der Benutzer nicht berechtigt, eine Entschaedigung fuer die entrichteten Internet-Verbindungsgebuehren, die in diesem Fall nutzlos geworden sein koennten, zu verlangen. (6) Astaro's Haftung ist auf die Faelle des Vorsatzes und der groben Fahrlaessigkeit beschraenkt, es sei denn Astaro kann der Bruch einer Kardinalpflicht vorgeworfen werden. Dies laesst die Haftung aus dem Produkthaftungsgesetz unberuehrt. 7. Gewaehrleistung und Haftung in Bezug auf Professional Licenses (1) Astaro-OSS wird als Schenkung, entsprechend den Ausfuehrungen zu den Lizenzen in den Exhibits 1 und 2, zur Verfuegung gestellt. Es besteht keine Garantie in Bezug auf diese Software. Im Hinblick auf die Haftung Astaro's wird auf die Ausfuehrungen in Abschnitt 6 verwiesen. (2) Astaro haftet nicht fuer Schaeden, die durch Fehler im "Astaro-Enterprise-Toolkit" entstanden sind, es sei denn, Astaro kann die Verletzung einer Kardinalpflicht vorgeworfen werden. Dies laesst die Haftung aus dem Produkthaftungsgesetz unberuehrt. (3) Mit der Ausgangslizenz (Professional License) ist eine sechsmonatige Gewaehrleistung verbunden. Soweit die lokale Ge- setzgebung eine laengere Gewaehrleistungszeit verlangt, gilt diese entsprechend laengere Zeit. (4) Jede Haftung durch Astaro ist ausgeschlossen, wenn der Benutzer seinen in Abschnitt 5. beschriebenen Verpflichtungen nicht im vollen Umfang nachgekommen ist. 8. Widerrufsrecht des Kunden In Faellen, bei denen der Benutzer ausschliesslich fuer private Zwecke handelt, ist er berechtigt, diese Vereinbarung innerhalb von 14 Tagen ab Erhalt von ASL, entweder als CD-ROM oder auf einem anderen Weg des elektronischen Vertriebes (Download ueber das Internet oder als eine Vor-Installation auf Hardware), zu widerrufen. Das Widerrufsrecht erlischt jedoch zu dem Zeitpunkt, an dem das Siegel an der CD-ROM gebrochen worden ist oder die Software benutzt wurde. Bei einem Widerruf muss die CD-ROM an Astaro zurueckgesandt werden, bzw. die Software von der Hardware vollstaendig entfernt werden. 9. Sonstiges (1) Astaro ist berechtigt, aus diesem Vertrag resultierende Pflichten durch Sub-Unternehmer ausfuehren zu lassen und diesen alle hierfuer notwendigen Informationen ueber den Benutzer offen zu legen. Astaro verbleibt in jedem Fall der einzige Vertragspartner des Benutzers. Der Benutzer ist nicht berechtigt, aus diesem Vertrag resultierende Rechte oder Pflichten an Dritte abzutreten. (2) Die in diesem Vertrag enthaltenen Vertragssubjekte repraesentieren alle Absprachen zwischen den Parteien. Dieser Vertrag ersetzt alle frueheren Vertraege zwischen den Parteien. Aenderungen und/oder Ergaenzungen beduerfen der Schriftform. (3) Sollten einzelne Bestimmungen dieses Vertrages unwirksam sein, beruehrt dies nicht die Wirksamkeit des Vertrages im uebrigen. In diesem Fall soll die unwirksame Bestimmung durch die Parteien in der Weise ersetzt werden, die die Interessen der Vertragspartner trifft und dem Vertragszweck gerecht wird. (4) Dieser Vertrag und alle aus ihm resultierenden Streitigkeiten sind Gegenstand deutschen Rechts. In Faellen, in denen der Benutzer als Kaufmann im Sinne des HGB handelt, soll Karlsruhe, Deutschland, Gerichtsstand sein. Die Grundsaetze der Convention on Contracts for the International Sale of Goods (CISG) sind ausser Kraft gesetzt. Exhibit I, II und III sind nur in Englisch verfuegbar.
